These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services operated by Gradogram(“Gradogram,” “we,” “us,” or “our”). By accessing or using our services, you agree to these Terms. If you do not agree, do not use our services.
1. Services
Gradogram provides recruitment technology, including tools for managing candidates, interviews, assessments, and related workflows. Features may change over time. We may suspend or discontinue any part of the service with reasonable notice where practicable.
2. Accounts and eligibility
To use certain features you must register an account and provide accurate information. You are responsible for safeguarding credentials and for all activity under your account. You must be authorized to act on behalf of your organization when you accept these Terms for business use.
3. Acceptable use
You agree not to:
- Violate applicable law or third-party rights.
- Attempt to disrupt, overload, or gain unauthorized access to our systems or data.
- Use the services to send unlawful, harassing, discriminatory, or deceptive communications.
- Reverse engineer or circumvent technical limitations except where law permits.
4. Compliance with employment laws
The services include features that use artificial intelligence to analyze and evaluate candidate assessment responses. Laws governing automated tools in hiring, and employment and anti-discrimination law generally, vary by jurisdiction and continue to evolve. You are solely responsible for ensuring that your use of the services, including any AI-assisted features, complies with the laws applicable to your hiring activity in your jurisdiction. The services are not warranted or certified for compliance with any specific jurisdiction’s regulations governing automated employment decision tools, and you should obtain your own legal advice about permitted use before relying on the services for a regulated hiring decision.
5. Customer content
You retain your intellectual property in content you submit (“Customer Content”). You grant Gradogram a non-exclusive license to host, process, and display Customer Content solely to provide and improve the services in accordance with our Privacy Policy and applicable agreements. You represent that you have the rights needed to grant this license.
6. Confidentiality of assessments
Assessment questions and materials may be confidential. Where we or your employer requires it, you must not copy, distribute, or discuss specific assessment content except as required by law.
7. Third-party services
We may integrate with identity providers, cloud infrastructure, or other vendors. Their terms and privacy practices may also apply. We are not responsible for third-party services we do not control.
8. Disclaimers
To the maximum extent permitted by law, the services are provided “as is” without warranties of any kind, whether express or implied. We do not guarantee that the services will be uninterrupted or error-free.
9. AI-generated output
The services use artificial intelligence to generate scores, classifications and written summaries of candidate assessment responses. These outputs are advisory decision-support only. They may contain errors, omissions or inaccuracies. You agree that a qualified human reviewer in your organization will review AI-generated output and make the final employment decision, and that you will not use the services to make, or to substantially determine, an employment decision on the basis of AI-generated output alone. You are responsible for the lawfulness, fairness and non-discriminatory character of your own hiring decisions.
10. Limitation of liability
To the maximum extent permitted by law, Gradogram and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our aggregate liability for claims relating to the services is limited to the amounts you paid us for the services giving rise to the claim during the twelve (12) months before the event, or one hundred dollars ($100) if no fees apply, unless a separate written agreement says otherwise.
11. Indemnity
You will indemnify and hold harmless Gradogram from claims arising from your use of the services, your Customer Content, or your violation of these Terms, except to the extent caused by our willful misconduct or gross negligence.
12. Termination
You may stop using the services at any time. We may suspend or terminate access for material breach of these Terms or where required by law. Provisions that by their nature should survive will survive termination.
13. Changes
We may modify these Terms by posting an updated version and updating the “Last updated” date. Material changes may be communicated by email or in-app notice where appropriate. Continued use after the effective date constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws chosen in your master agreement with Gradogram, or where none exists, by the laws applicable at our principal place of business, without regard to conflict-of-law rules. Courts in that jurisdiction have exclusive jurisdiction, unless mandatory consumer protections require otherwise.
